Define exactly what is for sale

Inspect the product and its obligations
Run the main workflows in a test environment. Review dependencies, licenses, API expenses, security issues, code maintainability, and the effort needed to operate it. Determine which customer-data transfers are permitted and which require notice or consent. A working demo does not establish ownership or legal transferability.

Agree terms and arrange eligible escrow
Document the price, included assets, delivery milestones, inspection tests, deadline, fees, refunds, dispute process, and support period in an appropriate agreement. Confirm that the chosen escrow provider accepts the countries, parties, assets, and payment method. Start through its official service and wait for confirmed funding before transferring control.

Transfer, then test against the agreement
Use a shared checklist for domain control, repository access, hosting, permitted data migration, billing, backups, and documentation. Rotate secrets instead of handing over personal accounts. The buyer should test sign-in, critical workflows, integrations, backups, and billing in their own environment.

Accept, release, and close the handover
Record acceptance or issues within the agreed inspection period. Let the escrow provider release funds under its terms. Remove obsolete access, retain permitted transaction records, and complete the promised support. A failed test should follow the written resolution process, not an informal promise.
